advisory & strategy session terms

Payment of an invoice for advisory or strategy services with Tahlia Meredith and The Melbourne Freelancer (Consultant) constitutes acceptance of these terms unless a separate written agreement has been executed between the parties.

nature of services

Advisory services involve the provision of strategic guidance, feedback, and recommendations based on the information provided by the Client at the time of engagement. Advice is offered in good faith and based on Consultant’s professional experience.

The Client acknowledges that Consultant does not control the Client’s business operations, implementation decisions, or external factors that may influence outcomes. All decisions and actions taken by the Client remain the Client’s sole responsibility.

Consultant does not guarantee specific results, revenue outcomes, or business performance arising from advice or recommendations.

scope of strategy sessions and other calls

Strategy sessions and calls are advisory in nature and are intended to provide discussion, feedback, and recommendations relating to the Client’s business, systems, marketing, or operations.

Unless otherwise agreed in writing, advisory services do not include implementation work, technical setup, ongoing consulting, project management, or deliverables beyond the session itself and any agreed summary notes.

Requests for additional work outside the session scope may be quoted separately and may require a separate agreement.

client responsibilities

To ensure advisory services and associated sessions and calls are productive and relevant, the Client agrees to provide accurate information and relevant context about their business when requested.

Consultant’s advice and recommendations rely on the accuracy and completeness of information provided by the Client.

confidentiality

Consultant recognises that the Client may share confidential or proprietary business information during the course of advisory services. Consultant agrees not to disclose or use such information for any purpose other than providing the agreed services.

The Client agrees to treat Consultant’s proprietary materials, processes, and intellectual property as confidential.

These confidentiality obligations survive the completion or termination of the engagement.

intellectual property

Any materials, frameworks, templates, or intellectual property developed by Consultant prior to or during the engagement remain the property of Consultant unless otherwise agreed in writing.

The Client is granted permission to use any materials provided for their internal business use only.

client representations

The Client represents that any text, images, data, or materials provided to Consultant are owned by the Client or used with proper permission.

The Client agrees to indemnify and hold Consultant harmless from any claims arising from materials supplied by the Client.

limitation of liability

To the maximum extent permitted by law, Consultant shall not be liable for any indirect, incidental, consequential, or business losses arising from consulting services or advice provided.

Consultant’s total liability for any claim arising out of or related to the engagement shall not exceed the amount paid by the Client for the services giving rise to the claim.

additional agreements

Where the Client engages Consultant for project work, retainers, or other services beyond a strategy session, a separate written agreement may apply. In the event of any conflict, the terms of the signed agreement will take precedence.
